Please read these statements carefully before you start to use our Site.

1. Introduction

The “Site” (http://workinspaces.co.uk) is an online platform (“Service”) that provides a connection between professional workspace owners (“Space Provider”); and professionals or businesses (“Clients”). “Us”, “we”, or “our” means Workin Spaces.

The Site is a project that is governed by or on behalf of **********. The company is a registered limited company in England. Our registered number is ********. Our address is ***************.

Either Space Providers or Clients will be our users of the Site. The Space Provider is allowed to list their spaces (“Listings”) and the Client can search workspaces (“Venues”) by using the site.

By using our website, you clearly agree with our terms and conditions stated herein (“the Agreement”). These terms and conditions stated herein are applicable for all dependent pages of the Site. If you do not agree to be bound by these terms and conditions of the Agreement, then you must not use this Site and you are not allowed to use or access our Service.

We reserve the right to change the terms and conditions of the Agreement from time to time by changing them on the Site without any notice.

2. The Workin Spaces Account

In order to be able to access your personal Workin Spaces account (“Account”), you must create a unique password to sign up and log in to the Site. In addition to this, you are obligated to provide correct information and update in case of any changes.

If you fail to maintain accurate information, this may result in your inability to access Workin Spaces.

To use the Site, you must meet our eligibility criteria, which requires the Client or Space Provider (“Users”) to have 18 years of age or older.

By registering as a Space Provider, you warrant that you are authorised to act on behalf of any actions related to the Venue.

We reserve the right to change the terms and conditions of the Agreement from time to time by changing them on the Site without any notice.

We reserve the right to approve and to delete your registration as Workin Spaces, in its sole discretion and for any or no reason.

You are reponsible for all activity that occurs with respect to your Account.

3. Using The Site

You agree that Workin Spaces offers the Service as a platform to connect Space Providers and Clients and to ease the process of booking Venues between these parties.

Once a Client has booked a Venue, any agreements made between a Space Provider and a Client does not involve Workin Spaces as a party to that agreement. The Client acknowledges that it is entering into an agreement directly with the corresponding Space Provider.

No partnership or employment exists between the User and Workin Spaces as a result of this Agreement.

By registering as a Space Provider, you agree with the following statements:
- You may list your Venue to the Site by entering information such as desk type, description, price, facilities, capacity, and a photo gallery of the Venue.
- You may edit, add and delete your Venue listings at any time.
- Venue submissions are subject to approval, which will be notified, and we reserve the right to decline the submission without giving a reason.
- You acknowledge that you shall respond with a minimum delay to all Enquiries, Viewing requests and Booking requests. You shall keep the listing information updated and you must ensure that the Venue is available to the Client when approving a Booking.
- You will select your commission rate for each listed Venue at your own choice. This percentage of the price will be paid to Workin Spaces upon a Booking of the Venue.
- We provide the Space Provider with the power of flexible commission, with a minimum commission rate of 10%.
- The Venue Membership is based on the chosen commission rate. With 10%, the Venue remains with a Standard Membership. From a 15% rate, the Venue is entitled to a Featured Membership. From 50% onwards, the Venue is entitled to a Premium Membership.
- The Featured Venues are displayed with more frequency than a Standard member throughout the Site. Members with higher commission rates will have the chance to appear on the homepage section, where a short list of featured venues is displayed.
- The Premium Venues will appear with even more frequency and will also appear on the homepage banner. The regularity of the venue being displayed on the banner is based on a waiting list that balances the number of premium members enrolled at the time. Those with higher commission rates will be entitled to more exposure.

By registering as a Client, you agree to the following statements:
- You may use the Site to search Venues and make Enquiries, Viewings and Bookings with a Space Provider.

Both Space Provider and Clients agree to the following statements:
- You acknowledge that Workin Spaces may monitor communications sent through the Site under certain circumstances.
- You shall provide feedback after attending or receiving a Viewing of a Venue.
- You will not use the Site for any illegal or inappropriate purposes reasonably likely to reflect negatively on Workin Spaces.
- You must only use the Site for lawful purposes, in a responsible manner. You will not use the Site for any criminal or fraudulent activity, nor to impersonate another entity.

4. Intellectual Property Rights

Workin Spaces owns all content on the Site, such as the name, the logo, designs, text, software, graphics, and its arrangement on the Site. No right or license is granted to use our intellectual property, and it must not be modified, copied, reproduced, distributed, or sold in any form or by any means.

You may not use any data gathering methods to download Site Content.

In the event you download, store or print pages from the Site, it must be solely for the User’s personal, non-commercial use. You must ensure that any copyright, trademark or other intellectual property rights from the original content are reproduced.

5. User Content

You are responsible for all the content you submit to the Site, and that you share with other Users. The user’s content includes messages, images, notes, links and other information.

Your Profile will display to other Users the content that you provide Workin Spaces. You must provide accurate and current information in your Profile and must promptly update the content in case of any changes.

User content must not contain or promote any content that:
- violates any intellectual property rights or data protection
- is purposely false or misleading
- is obscene, abusive, sexually explicit, threatening, discriminatory.

You understand that Workin Spaces may review the Site and reserves all right to delete any Site or User Content that believes to violate these Terms and Conditions.

6. Termination and Cancellation

We may, in our discretion and without liability to you, for any or no reason, with or without prior notice and at any time, decide to limit, suspend and deactivate your Workin Spaces account.

We may, for any or no reason, with or without prior notice, terminate the Agreement and/or terminate any Service and/or your use of your Account.

In case of failing to pay your invoices when due, your account will be suspended by us.

In case of breaching these terms and conditions, this may cause your account suspension.

Cancellations of any Listing shall be governed by these terms and conditions.

7. Payment

As a Space Provider, by using our Service, you agree to pay the fee of our Service.

When the Booking is done, we shall send you an invoice to request payment for usage of our Service.

The fee will be calculated on the basis of each different Venue. As a part of our Service, you can adjust the flexible commission for extra benefits. In this case, the fee will be calculated on the basis of adjusted commission as soon as booking made.

When a Booking is made, the fee for a Booking is the real-time fee on the basis of real-time commission rate. You can readjust the commission rate after a booking has been made. However, the previous commission rate will be still valid for Bookings that have been made on this rate for payment.

8. Limitation on Liability

If you choose to use the site, you agree to do so at your sole risk. Workin Spaces does not have an obligation to operate background checks but may choose to do so in its sole discretion. The company does not represent or warrant (A) the quality of listings or venues, or (b) the accuracy of the content. Workin Spaces disclaims any warranty or condition that (a) the use of the website will be secure, uninterrupted or error free, or (B) the site will meet your requirements. No advice or information will create any representation, warranty or condition not expressly made herein.

You are solely responsible for all your communications and interactions with (A) other users of the site, or (B) other persons whom you communicate or interact with as a result of using the site. You agree to take reasonable precautions in all communications and interactions with other users of the site, or persons whom you interact with as a result of using the site, such as meeting in person regardless of whether such meetings are organised through Workin Spaces.

The company does not make an attempt to verify the statements of users of the site, or to review or visit venues, nor does it make any representation, warranty or condition as to the reliability, safety, quality or availability of the venues.

You acknowledge that the entire risk arising out of your use of the site remains solely with you, to the maximum extent permitted by law. Workin Spaces will not be liable for any incidental or consequential damages, including (A) lost profits, (B) loss of data, (C) personal injury or emotional distress, or (D) property damage.

By using this site you agree that you shall defend, indemnify and hold Workin Spaces harmless from and against any and all claims, costs, damages, losses, liabilities and expenses arising out of (A) your violation of these terms and conditions, (B) your user content, and (C) your misuse of the site.
